2. Scope of Services

- Mobile App Development (iOS, Android, cross-platform).
- Digital Marketing (SEO, social campaigns, analytics).
- IT Outsourcing (infrastructure, cloud, support).
- Web & E-Commerce Development (websites, stores, CMS).
- Product Design (UI/UX, prototyping, branding).
3. Client Responsibilities
- Provide accurate and complete project requirements.
- Supply required materials (logos, content, data) on time.
- Review and approve deliverables within agreed timelines.
- Ensure data/content does not violate intellectual property or laws.
- Maintain confidentiality of credentials and project access.
4. Intellectual Property Rights
Client Ownership: Upon full payment, final deliverables belong to the client.
Optisoft Ownership: We retain our pre-existing tools, frameworks, and know-how.
License: Clients receive a non-exclusive, non-transferable license to use proprietary tools integrated into the final solution.
5. Payments & Billing
- Fees are outlined in proposals, contracts, or invoices.
- Payments must follow the agreed schedule.
- Late payments may cause suspension or extra charges.
- All fees are non-refundable unless stated otherwise.
- Taxes and legal charges are the client’s responsibility.
6. Confidentiality
Both parties must keep non-public information confidential. This obligation survives termination.
7. Warranties & Disclaimers
- We use reasonable skill and best practices.
- We do not guarantee error-free, uninterrupted services or specific outcomes.
- Services are provided “as is” without warranties.
8. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the fees paid for the service in question.
9. Termination
Either party may terminate with written notice if the other breaches material terms and fails to fix it within 14 days. Clients must pay for all completed work. Certain obligations survive termination.
10. Third-Party Services
Our services may integrate with third-party tools. Optisoft is not responsible for their performance. Clients must comply with third-party terms.
11. Data Protection & Privacy
We handle data in line with our Privacy Policy. Clients must ensure compliance with applicable data protection laws when sharing data.
12. Indemnification
Clients agree to indemnify and hold Optisoft harmless against claims arising from misuse, IP violations, or breaches of these Terms.
13. Governing Law & Dispute Resolution
